GrowIQ — Terms of Service

1. Acceptance. These Terms of Service ("Terms") are a binding agreement between
you and the company you represent ("Customer", "you") and GhayaInc USA ("GrowIQ"), governing
your access to and use of the GrowIQ platform and related services (the
"Service"). By creating an account, clicking to accept, or using the Service, you
agree to these Terms, the Privacy Policy, and the Data Processing Addendum (the
"DPA"), which are incorporated by reference.

2. The Service. GrowIQ provides AI-assisted growth-intelligence software,
including market analytics, lead scoring, CRM, forecasting, and reporting. We may
update, improve, or modify the Service from time to time. We will not materially
reduce core functionality of a paid plan during a paid term without notice.

3. Accounts & Security. You must provide accurate registration details, keep your
credentials confidential, and are responsible for activity under your account. You
must promptly notify us of any unauthorized use. You authorize us to act on
instructions from authenticated users in your account.

4. Customer Data — Your Ownership. "Customer Data" means data you or your users
upload to, or generate through, the Service (e.g. your leads, contacts, deals,
financial inputs). As between the parties, you retain all right, title, and
interest in Customer Data. You grant GrowIQ a worldwide, non-exclusive,
royalty-free license to host, process, transmit, display, and use Customer Data
solely to provide, secure, support, and improve the Service for you, and as
otherwise permitted in these Terms and the DPA.

5. GrowIQ Property & Aggregated Data. GrowIQ and its licensors own all right,
title, and interest in the Service, its software, models, algorithms, and
documentation, and all related intellectual property. GrowIQ may create and use
data and insights that are aggregated and de-identified such that they do not
identify you, any individual, or any single customer ("Aggregated Data"), to
operate, analyze, benchmark, develop, and improve the Service and GrowIQ's models
and products. GrowIQ owns all Aggregated Data. GrowIQ does not claim ownership of
your identifiable Customer Data.

6. AI Outputs. Scores, predictions, forecasts, recommendations, and other outputs
are generated by automated models, may be inaccurate or incomplete, are provided
for informational purposes only, and do not constitute financial, legal, tax, or
other professional advice. You are responsible for decisions you make using them.

7. Acceptable Use. You will not (a) use the Service unlawfully or to infringe
others' rights; (b) upload malware or unlawful content; (c) reverse engineer,
resell, or circumvent usage limits or security; (d) use the Service to build a
competing product; or (e) submit data you lack the right or lawful basis to
process. You are responsible for your end users' compliance.

8. Plans, Fees & Billing. Paid plans, limits, and fees are presented at checkout.
Fees are billed in advance and are non-refundable except as required by law or
expressly stated. Bank-transfer (ACH/wire) payments grant access on submission of
a valid reference and are reconciled out-of-band; we may suspend access if funds
are not received. Trials convert or expire as described at sign-up. Taxes are your
responsibility. We may change fees on renewal with prior notice.

9. Term & Termination. These Terms apply while you use the Service. Either party
may terminate for material breach not cured within 30 days of notice. We may
suspend access for non-payment, security risk, or unlawful use. On termination,
your right to use the Service ends; we will make Customer Data available for export
for 30 days, after which we may delete it per the DPA.

10. Warranties & Disclaimer. The Service is provided "AS IS" and "AS AVAILABLE".
To the maximum extent permitted by law, GrowIQ disclaims all implied warranties,
including merchantability, fitness for a particular purpose, and non-infringement,
and does not warrant that the Service will be uninterrupted or error-free.

11. Limitation of Liability. To the maximum extent permitted by law, neither party
is liable for indirect, incidental, special, consequential, or punitive damages,
or lost profits or data. GrowIQ's total aggregate liability arising out of or
relating to the Service will not exceed the fees you paid to GrowIQ in the 12
months preceding the event giving rise to the claim.

12. Indemnification. You will defend and indemnify GrowIQ against third-party
claims arising from your Customer Data or your breach of these Terms. GrowIQ will
defend you against third-party claims that the Service infringes their IP rights,
subject to customary exclusions.

13. Confidentiality. Each party will protect the other's non-public information
with reasonable care and use it only to perform under these Terms.

14. Governing Law. These Terms are governed by the laws of the Commonwealth of
Massachusetts, USA, excluding its conflict-of-laws rules, and the parties submit
to the exclusive jurisdiction of the state and federal courts located there.

15. Changes. We may update these Terms; material changes will be notified and the
version will be incremented. Continued use after the effective date constitutes
acceptance.
